Welcome to Go CoOpe, LLC. (a.k.a. “Go CoOpe”, “we“, “us” or the “Company“). We are excited to have you as user and member of the community. The following terms and conditions (collectively, these “Terms of Service“) apply to your use of www.GoCoOpe.com, including any content, functionality and services offered on or via GoCoOpe.com, MyGoCoOpe.com and MiGoCoOpe.com (the “Website“).

The Terms of Service also include our Privacy Policy that you can review on GoCoOpe.com.

We want to keep our relationship with you as lean and informal as possible, but please read the Terms of Service carefully before you start using the Go CoOpe Website and/or any of its related On-Line applications.  Once you use the website or on-line application you have accepted and agreed, to be bound and abide by these Terms of Service.

Should you disagree with some of the provisions herein, you can either leave the Website (although we’ll be sad to see you go!), or contact us at support@GoCoOpe.com. Go CoOpe is all about collaborating to improve the way you work, and we’ll be happy to hear your comments and suggestions.

Regardless of anything stated herein to the contrary it is expressly agreed between the parties that you are an Independent Contractor for all purposes.

2. Changes to the Terms of Service and the Website

Go CoOpe is an ongoing work in progress, meaning that as we find a better way to serve our community we will change our website & services to implement the improvement.

We reserve the right to update the Website and these Terms of Service from time to time, at our discretion. We will announce any major change in a prominent way, but since “major” is a very subjective concept, so we recommend that you monitor the document on GoCoOpe.com.

Your continued use of the Website following the publishing of updated Terms of Service means that you accept and agree to the changes.

3. Accessing the Website, Security and Privacy

We are working hard on giving you the best service possible here at Go CoOpe, but we can’t guarantee that the Website will be up and running 24/7. We also reserve the right to suspend or restrict access to some features to users. In any case, we will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period, nor for any data loss (see also section 1 below).

To access certain features of the Website and our service you have to register by entering your email and choosing a password as part of our security procedures. You are solely responsible for maintaining the confidentiality of your password and account and for any and all statements made and acts or omissions that occur through the use of your password and account. Therefore, you must take steps to ensure that others do not gain access to your password and account. Our personnel will never ask you for your password. You may not share nor transfer your account with anyone, and we reserve the right to immediately terminate your account if you do share or transfer your account.

There is a password reset procedure in case you forget your password, but please notify us of any breach of security. We highly recommend to choose a strong password and that you log out from your account at the end of every session.

It is a condition of your use of the Website that you must be eighteen (18) years of age or older, or a minimum of sixteen (16) years of age and using the Web site with parental and/or guardian supervision and consent, and have the capacity to enter into such a legally-binding contract and all the information you provide on the Website is correct, current and complete. In the future, you may be asked to provide certain registration details or other information. As custom for internet websites, we reserve the right to disable any user account, at any time in our sole discretion for any or no reason, including, if in our opinion you have failed to comply with any of our provisions including these Terms of Service.

We use SSL encryption and other security controls for all logged-in users, but we cannot guarantee that all use will be secure. We also do not guarantee that the Website or any content provided on the Website is error free. We manage your personal data according to our Privacy Policy.

You are responsible for providing, at your own expense, all equipment necessary to use the services, including an Internet enabled device, network hardware, and/or Internet access (including payment of all fees associated for such access).

4. Intellectual Property Rights

The Website and its original content, features and functionality, are owned by Go CoOpe and are protected by United States copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. Go CoOpe is about building a community of honest and hardworking individuals that want to have a professional community of other individuals to support them in their professional and sometimes personal goals and to provide a platform to accomplish just that, we are not just a Website, design or code.

For purposes of these Terms of Service, the term “Content” includes, without limitation, information, data, text, photographs, videos, audio clips, written posts and comments, software, scripts, graphics, and interactive features generated, provided, or otherwise made accessible on or through the Website. For the purposes of these Terms of Service, “Content” also includes all User Content (as defined below).

All Content added, created, uploaded, submitted, distributed, or posted to the Website by users (collectively “User Content”), whether publicly posted or privately transmitted, is the sole responsibility of the person who originated such User Content. You represent that all User Content provided by you is accurate, complete, up-to-date, and in compliance with all applicable laws, rules and regulations. You acknowledge that all Content, including User Content, accessed by you using the Website is at your own risk and you will be solely responsible for any damage or loss to you or any other party resulting therefrom. We do not guarantee that any Content you access on or through the Website is or will continue to be accurate.

Subject to our Privacy Policy, any communication or material that you transmit to this Site or to us, whether by electronic mail, post, or other means, for any reason, will be treated as non-confidential and nonproprietary. We reserve the right to, but do not have any obligation to, (i) remove, edit or modify any Content in our sole discretion, at any time, without notice to you and for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such Content or if we are concerned that you may have violated these Terms of Service), or for no reason at all and (ii) Go CoOpe Reserves the right at it sole discretion to any content that it believes it is inappropriate for any reason or unnecessary for the conducting of (iii) to remove or block any Content from the Website.

The Website may contain Content specifically provided by us, our partners or our users and such Content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws. You shall abide by and maintain all copyright notices, information, and restrictions contained in any Content accessed through the Website.

5. Use Guidelines

You are permitted to use the Website for your personal, non-commercial use, or legitimate business purposes, provided that your activities are lawful and in accordance with these Terms of Service.  Prohibited uses include violation of laws and regulations, hacking the Website in any manner, or violating the Content Standards set below. No right, title or interest in or to the Website or any content on the site is transferred to you, and all rights not expressly granted are reserved.  Additionally we expressly reserve all rights permitted to us by the Laws of the State of Texas. Any use of the Website not expressly permitted by these Terms of Service is a breach of these Terms of Service and can lead to account termination.

You may not reproduce, reverse engineer, create derivative works of, reverse assemble or reverse compile, sell, lease, distribute, rent, assign, transfer, or modify any software or code used on our site without our express written permission.

In addition, you may not use your account to breach security of another account or attempt to gain unauthorized access to another network, server, or otherwise. Not all areas of the Site may be available to you or other authorized users of the Site. You shall not interfere with anyone else’s use and enjoyment of the Site or other similar services. Users who violate systems or network security may incur criminal or civil liability.

We encourage your feedback, in the form of reviews, comments, and suggestions or recommendations for modifications, improvements or changes to the Services or the Site that you may choose in your sole discretion to provide us from time to time (“Feedback”). When you provide Feedback, you grant us, under all right, title and interest in and to the Feedback, a non-exclusive, royalty-free, worldwide, transferable, sub-licensable, irrevocable, perpetual license to use that Feedback or to incorporate it into the Website or other products or services.

6. Mapping and Route guidance.

If you decide to use the route mapping and/or guidance features you agree that location, map and route data may not be accurate, you will make sure to abide with all transportation laws and regulations and for Go CoOpe to receive your location and route information from your device, for example in the form of GPS signals and other information.  Go CoOpe uses this information to offer the Service to you, to improve the quality of the Service it offers to you and to its other users and to improve the accuracy of the used mapping and navigation data.

Always pay full attention to the road and abide with all transportation laws and regulations.  Interacting with the Service by the driver while driving, is strictly prohibited!

7. User Contributions and Content Standards.

Go CoOpe contains user generated content, and also may contain message boards, personal web pages, forums or other interactive features that allow you to upload, post, submit, publish, display or transmit to other Users Content on or through the Website. All User Content must be related to Go CoOpe and to the topic where posted ( No SPAM ), lawful, clear of virus or other malware. More specifically, but without limiting the foregoing, it must comply with; but, not be limited to the following Content Standards:

  • Not contain any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable.
  • Not promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, age, or any other legally recognized protected class.
  • Not infringe any patent, trademark, trade secret, copyright or other intellectual property rights of any other person.
  • Not violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Service.
  • Not be likely to deceive any person.
  • Not promote any illegal activity, or advocate, promote or assist any unlawful act.
  • Not cause annoyance, inconvenience or needless anxiety or be likely to upset, embarrass, alarm or annoy any other person.
  • Not be used to impersonate any person, or to misrepresent your identity or affiliation with any person or organization.
  • Not give the impression that they emanate from us or any other person or entity, if this is not the case.
  • Not breach any law of the State of Texas or any other state in which Go CoOpe or you are currently doing business or accessing this websites and/or our services.

8. Special Disclaimer for legal content.

Content is not intended to be Legal advice, CPA advice or Tax advice nor form an attorney-client relationship, among the users, between the users and/or Go CoOpe. Use of the Website should never be understood to be replacing use of a qualified attorney or CPA by the individual using these sites and services.

9. Third Party Sites and Information

This site may link you to other sites on the Internet or otherwise include references to information, documents, software, materials and/or services provided by other parties. These other sites and parties are not under our control, and you acknowledge that we are not responsible for the accuracy, copyright compliance, legality, decency, or any other aspect of the content of such sites, nor are we responsible for errors or omissions in any references to other parties or their products and services. The inclusion of such a link or reference is provided merely as a convenience and does not imply endorsement of, or association with, the Site or party by us, or any warranty of any kind, either express or implied.

10. Participation in Promotions

From time to time, this Site may include advertisements offered by third parties. You may enter into correspondence with or participate in promotions of the advertisers showing their products on this Site. Any such correspondence or promotions, including the delivery of and the payment for goods and services, and any other terms, conditions, warranties or representations associated with such correspondence or promotions, are solely between you and the advertiser. We assume no liability, obligation or responsibility for any part of any such correspondence or promotion.

11. Law and Copyright Infringement

We do not undertake to review all material before it is posted on the Website, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications or content provided by any user or third party. In the unlikely event we receive a disclosure request from an authorized party, we reserve the right to disclose user identities when required to do so by the law, including in response to a law enforcement request supported by a valid court order. You waive and hold harmless the Company from any claims resulting from any action taken by the Company during or as a result of its investigations and from any actions taken as a consequence of investigations by either the Company or law enforcement authorities.

12. Disclaimer of Warranties, Limitations of Liability and Indemnification.

Your use of Go CoOpe is at your sole risk. The service is provided “as is” and “as available”. We disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. We are not liable for damages, direct or consequential, resulting from your use of the Website, and you agree to defend, indemnify and hold us harmless from any claims, losses, liability costs and expenses (including but not limited to attorney’s fees) arising from your violation of any third-party’s rights. You acknowledge that you have only a limited, non-exclusive, nontransferable license to use the Website. Because the Website is not error or bug free, you agree that you will use it carefully and avoid using it in ways which might result in any loss of your or any third party’s property or information.

13. Geographic Restrictions

For now, we provide this Website for use only by persons located in the United States of America (USA). We make no claims that the Website or any of its content is accessible, appropriate or legal outside of the USA. If you access the Website from outside the USA, you do so on your own initiative and are responsible for compliance with local laws.  Any offer for any product, service, and/or information made in connection with this Site is void where prohibited.

14. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the internal laws of the State of Texas without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action or proceeding arising out of, or related to, these Terms of Service or the Website shall be instituted exclusively in the federal courts of the United States of America or the courts of the State of Texas.  You expressly waive any other forum or jurisdiction to which you may be entitled to by any present or future legal residence(s) or for any other reason.

15. Notices

All notices to a party shall be in writing and shall be made either via email, through their account Dashboard, conventional mail or as a post on our website.  Notices to us must be sent to the attention of Go CoOpe Legal Department at legalnotice@gocoope.com, if by email, or at Go CoOpe, LLC Legal Dept, PO BOX 515678, Dallas, Tx 75251 USA if by conventional mail. We may broadcast notices or messages through the Site to inform you of changes to the Site or other matters of importance, and such broadcasts shall constitute notice to you at the time of sending.

16. Entire Agreement

These terms and conditions constitute the entire agreement and understanding between us concerning the subject matter of this agreement and supersede all prior agreements and understandings of the parties with respect to that subject matter. These Terms of Use may not be altered, supplemented, or amended by the use of any other document(s). Any attempt to alter, supplement or amend this document or to enter an order for products or services which are subject to additional or altered terms and conditions shall be null and void, unless otherwise agreed to in a written agreement signed by you and us. To the extent that anything in or associated with this Site is in conflict or inconsistent with these Terms of Use, these Terms of Use shall take precedence.

17. Headings Construction

The headings which have been used throughout this Agreement have been inserted for convenience of reference only and do not constitute matter to be construed in interpreting this Agreement.  Words of any gender used in this Agreement shall be held and construed to include any other gender and words and the singular number shall be held to include the plural, and vice versa, unless the context requires otherwise.  The words “herein,” “hereof,” “hereunder” and other similar compounds of the words “here” when used in this Agreement shall refer to the entire Agreement and not to any particular provision or section.

18. Invalid Provisions

If any one or more of the provisions of this Agreement, or the applicability of any such provision to a specific situation, shall be held invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it or its application valid and enforceable, and the validity and enforceability of all other provisions of this Agreement and all other applications of any such provisions shall not be affected thereby.

19. Further Acts

In addition to the acts recited in this Agreement to be performed by any of the parties, the parties hereto agree to perform or cause to be performed at the time required all such further acts as may be reasonably necessary to complete the transactions contemplated hereby.

20. Waiver and Severability

Our failure to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Go CoOpe and govern your use of the service, superseding any prior agreements (including, but not limited to, any prior versions of the Terms of Service). If any provision of these Terms of Service is held by a court of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.
